Terms of Service

These Terms of Service ("Terms") govern your access to and use of Patel Omnix Invoice Manager (the "Service"), operated by Patel Solutions ("we", "us", "our") at https://omnix.patelsolutions.net.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Patel Omnix is a software-as-a-service (SaaS) platform that enables authorized business users to:

• Create and customize professional invoices
• Generate PDF invoices in the browser
• Upload invoice PDFs to the user's own Google Drive account
• Work offline with automatic synchronization when connectivity is restored
• Customize company branding, tax settings, and payment information

2. Account Registration & Access

• Accounts are created exclusively by the platform Super Administrator. There is no public self-registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately at info@patelsolutions.net if you suspect unauthorized access to your account.
• You must provide accurate and current information in your company profile.
• One account is intended for one business entity unless otherwise agreed in writing.

3. Subscription Plans & Usage Limits

• The Service is offered under monthly subscription plans with defined invoice generation limits.
• Usage limits reset monthly as configured by your plan.
• We reserve the right to modify plan features, limits, and pricing with reasonable notice to account holders.
• Failure to comply with plan limits may result in temporary suspension of invoice generation until the next billing cycle or plan upgrade.

4. Google Drive Integration

• Google Drive connectivity is optional but required to upload invoices to the cloud.
• By connecting your Google account, you authorize the Service to upload PDF files to your selected Google Drive folder.
• You are responsible for maintaining your Google account security and compliance with Google Terms of Service.
• We are not responsible for data stored in your Google Drive account or any loss of access to your Google account.
• You may disconnect Google Drive at any time through the Service settings.

5. User Responsibilities

You agree to:

• Use the Service only for lawful business purposes
• Ensure invoice content complies with applicable tax, accounting, and commercial laws in your jurisdiction
• Obtain necessary consent from clients whose personal data you enter into invoices
• Not use the Service to generate fraudulent, misleading, or illegal documents
• Not attempt to reverse engineer, hack, or disrupt the Service
• Not share your account credentials with unauthorized persons
• Not exceed plan usage limits through automated scripts or abuse

6. Your Content & Data

• You retain ownership of all business data, client information, and invoice content you enter into the Service.
• You grant us a limited license to process your data solely to provide the Service (e.g., generating PDFs, uploading to your Google Drive).
• Invoice PDFs are not permanently stored on our servers after upload to Google Drive.
• Logos and signature images you upload remain your property and are stored on our servers only to render your invoices.

7. Intellectual Property

• The Service, including its software, design, code, and branding (excluding your uploaded content), is owned by Patel Solutions and protected by intellectual property laws.
• You may not copy, modify, distribute, or create derivative works of the Service without our written permission.
• The Patel Omnix name and logo are trademarks of Patel Solutions.

8. Service Availability & Offline Mode

• We strive to maintain high availability but do not guarantee uninterrupted access.
• The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
• Offline functionality allows invoice creation without internet; cloud upload requires connectivity and an active Google Drive connection.
• We are not liable for delays in offline queue synchronization caused by network issues on your device.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be error-free or uninterrupted
• Generated invoices meet specific legal or tax requirements in your jurisdiction
• Integration with third-party services (including Google Drive) will always be available

You are solely responsible for verifying that invoices generated comply with applicable laws and regulations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATEL SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Patel Solutions, its officers, and employees from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the Service
• Invoice content you create or distribute
• Your violation of these Terms or applicable law
• Your misuse of Google Drive integration

12. Account Suspension & Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or abusive activity
• Fail to pay applicable subscription fees (if applicable)
• Are inactive for an extended period as determined by the Super Administrator

Upon termination, your right to use the Service ceases immediately. You may request deletion of your account data by contacting info@patelsolutions.net.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Third-Party Services

The Service integrates with third-party services including Google Drive. Your use of those services is subject to their respective terms and policies. We are not responsible for third-party services.

15. Changes to Terms

We may modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Material changes will be communicated to account holders via email when possible. Continued use after changes constitutes acceptance.

16. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Panama, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Panama, unless otherwise required by mandatory local consumer protection laws.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

2. Cuentas

• Las cuentas son creadas exclusivamente por el Super Administrador
• Usted es responsable de mantener la confidencialidad de sus credenciales
• Debe proporcionar información veraz en su perfil de empresa

3. Planes y Límites

El Servicio opera con planes mensuales que incluyen límites de facturas. El exceso de uso puede resultar en suspensión temporal hasta el siguiente ciclo o actualización de plan.

4. Google Drive

Al conectar su cuenta Google, autoriza al Servicio a subir PDF de facturas a la carpeta seleccionada. Usted es responsable de su cuenta Google y del cumplimiento de los términos de Google.

5. Sus Responsabilidades

• Usar el Servicio solo para fines comerciales legales
• Asegurar que las facturas cumplan las leyes fiscales y comerciales aplicables
• No generar documentos fraudulentos o ilegales
• No compartir credenciales ni abusar del sistema

6. Propiedad del Contenido

Usted conserva la propiedad de sus datos comerciales. Los PDF no se almacenan permanentemente en nuestros servidores tras subirse a Google Drive.

7. Exclusión de Garantías

EL SERVICIO SE PROPORCIONA "TAL CUAL". No garantizamos que las facturas cumplan requisitos legales específicos de su jurisdicción. Usted es responsable de verificar el cumplimiento legal.

8. Limitación de Responsabilidad

Patel Solutions no será responsable por daños indirectos o pérdida de datos. La responsabilidad total no excederá el monto pagado en los últimos 12 meses o USD $100.

9. Privacidad

El uso del Servicio también se rige por nuestra Política de Privacidad.

10. Ley Aplicable

Estos Términos se rigen por las leyes de la República de Panamá.
